Jefferies Financial Group Inc.

United States · NYSE: JEF · Market cap: $12.4B

Jefferies is an investment bank that helps companies raise money and buy other companies, and also trades stocks and bonds.

Jefferies is a middleweight investment bank. It doesn't take deposits from regular people like a normal bank, and it doesn't have a giant balance sheet like JPMorgan. Instead, it sells advice and financial firepower to companies that need help. If Microsoft wants to buy another company, or if a struggling chain needs to sell itself to survive, Jefferies is one of the firms they can call. The company makes money in two main ways: advisory and underwriting fees (helping companies sell new shares or bonds and advising on mergers), and trading (buying and selling stocks and bonds for clients, plus its own account).

Think of it as the bank for the middle: too big for a tiny boutique, but scrappy enough to fight for deals the giant banks sometimes ignore. That middle position has been very good for business. While the megabanks spent years trimming risk after 2008, Jefferies kept growing its trading desk and hiring talent. In recent years, more than half its revenue has come from trading, with the rest from investment banking fees. The firm has been expanding aggressively in Europe and in areas like leveraged finance, and it has been buying up smaller rivals and teams to bulk up.

The company is run by CEO Rich Handler, who took over a small, struggling brokerage called Jefferies in the 1990s and turned it into the firm it is today. Jefferies pays a dividend and buys back its own stock, which returns cash to shareholders. The business is cyclical: when markets are hot and deals are flowing, Jefferies makes a fortune; when fear takes over, fees dry up. But over the long run, its bet on being the go-to independent middle-market bank has paid off handsomely.
